DESCONSIDERAÇÃO DA PERSONALIDADE JURÍDICA EM SOCIEDADES LIMITADAS APÓS A LEI DA LIBERDADE ECONÔMICA

A intenção deste artigo é analisar os possíveis impactos da Lei nº. 13.874/2019, a chamada Lei da Liberdade Econômica, na desconsideração da personalidade jurídica. Para isso, se abordará a personalidade jurídica e as teorias do patrimônio, bem como sua inserção no ordenamento brasileiro, a fim de que se possam identificar as bases históricas e dogmáticas que influenciaram o legislador pátrio. Depois, será estudada a sociedade limitada, por ser o modelo societário de maior difusão em nosso país, representando importante instrumento para a atividade comercial pela limitação da responsabilidade dos sócios pelas obrigações da sociedade ao seu investimento no capital social. Contudo, a separação patrimonial não é absoluta, de modo que a desconsideração da personalidade jurídica surge enquanto instrumento para atingir a esfera patrimonial individual do sócio em caso de abuso de direito em relação à personalidade jurídica. Na tentativa de dar garantias ao livre exercício de atividade econômica e limitar a intervenção estatal, foi promulgada a Lei nº. 13.874/2019, que trouxe maiores obstáculos à desconsideração, que somente deverá atingir os sócios que se beneficiarem direta ou indiretamente da fraude praticada, devendo esta ser devidamente comprovada por quem a alega.
